Your role

As Legal Counsel, you will be part of the Group Legal team, supporting Virya Energy and its subsidiaries in Belgium and internationally. You will provide broad legal support on corporate, commercial and general business law matters, working closely with internal and external stakeholders across the group.

This role offers a high level of variety and exposure, combining day-to-day legal support with involvement in strategic projects across different business lines and operating units.

 

Your responsibilities

  • Providing pragmatic, business-oriented legal advice to the group’s business lines and operating units, supporting both day-to-day activities and strategic initiatives across Virya Energy and its subsidiaries.

  • Drafting, reviewing and negotiating a wide range of commercial agreements, including services agreements, development agreements, cooperation agreements, supply and offtake agreements, framework agreements and NDAs.

  • Assisting in M&A, investment and (project) financing transactions, including legal due diligence and drafting and reviewing transaction documentation such as share purchase agreements, asset transfer agreements, shareholders’ agreements and financing agreements, as well as supporting post-closing implementation.

  • Supporting corporate housekeeping and governance matters across the group, including board and shareholder documentation, resolutions, mandates and internal governance processes.

  • Advising internal stakeholders on contractual risk, liability allocation and compliance, translating legal analysis into clear, workable solutions that align with business objectives.

  • Coordinating with external law firms and notaries, including managing mandates and following up on notarial documentation and related formalities.

  • Contributing to the development, implementation and maintenance of group-wide legal policies, guidelines and standard documentation, helping ensure consistency, efficiency and legal robustness across the group.

  • Preparing internal legal notes, memos and presentations for senior management and/or the board of directors.

  • Monitoring relevant developments in corporate and commercial law and proactively assessing their impact on the group’s activities. 

Job requirements

Your profile

  • Master’s degree in law, 3–6 years of relevant experience in corporate and/or commercial law within a reputable law firm or the legal department of an international organization.

  • You have a strong interest in corporate law, business law and commercial contracts, and enjoy working close to the business.

  • High level of accuracy and autonomy, combined with a solid understanding of organizational and commercial priorities.

  • You can manage multiple matters simultaneously and set priorities effectively.

  • Clear, pragmatic communication style and confidence in engaging with stakeholders across the organization, including non‑legal profiles.

  • You are a team player with a high level of integrity and a proactive, solution-oriented mindset.

  • Fluency in Dutch or French, supported by an excellent working knowledge of English for drafting and negotiation purposes.
